AI Receptionist – Terms of Service

These Terms of Service govern the use of AI receptionist services provided by LANgineers Inc.
Effective Date: February 2025

1. Service Description

LANgineers AI Receptionist is an artificial intelligence-powered virtual receptionist service that answers incoming telephone calls on behalf of your business. The Service may include, but is not limited to:

  • Automated call answering with customizable greetings and business information
  • Caller identification and intent recognition
  • Message taking and delivery via email or SMS
  • Call routing and transfer to designated numbers
  • Appointment scheduling integration
  • Call logging, transcription, and analytics accessible via an online portal
  • Customizable call handling scripts and business rules

2. Pricing and Billing

2.1 Minute Buckets

The Service is sold on a flat-rate monthly basis using prepaid minute buckets. The size of your minute bucket is determined based on an analysis of your business call history, including missed calls, abandoned calls, and voicemail calls during business hours. Your assigned minute bucket and monthly rate will be specified in your Service Order.

2.2 Overage Charges

Usage exceeding your prepaid minute bucket will be billed at $0.50 (fifty cents) per minute of overage. Overage charges are calculated and invoiced monthly in arrears.

2.3 Billing Cycle

Monthly service fees are billed in advance. Overage charges, if any, are billed in arrears on the following month’s invoice. All fees are due upon receipt of invoice. Late payments are subject to a fee of 1.5% per month or the maximum allowed by law, whichever is less.

2.4 Payment Authorization

By subscribing to the Service, you authorize LANgineers to charge the credit card or payment method on file for all recurring service fees and overage charges. This authorization remains valid until 30 days after we receive your written notice to terminate.

2.5 Taxes and Fees

All prices are exclusive of applicable federal, state, and local taxes, surcharges, and regulatory fees, which will be added to your invoice.

3. AI Service Limitations and Disclaimer

The Service utilizes artificial intelligence technology to handle telephone calls. Customer acknowledges and agrees that:

  1. AI technology may occasionally misinterpret caller intent, mispronounce words, or provide incorrect information despite best efforts to configure the system accurately.
  2. The Service is not a substitute for trained human receptionists in situations requiring complex judgment, empathy, or nuanced decision-making.
  3. LANgineers is not liable for any business losses, missed opportunities, or damages resulting from AI misinterpretation, system errors, or service interruptions.
  4. The AI receptionist should not be relied upon for emergency call handling. The Service is not a replacement for 911 or emergency dispatch services.
  5. AI performance may vary based on caller accent, background noise, call quality, and other factors outside LANgineers’ control.

4. Call Recording, Transcription, and Data

4.1 Call Recording

Calls handled by the Service may be recorded and transcribed for quality assurance, service improvement, and Customer record-keeping. Customer is responsible for complying with all applicable federal and state laws regarding call recording and notification, including but not limited to California’s two-party consent law (California Penal Code Section 632). LANgineers will configure an appropriate disclosure announcement as part of the call flow, but Customer is ultimately responsible for legal compliance in their jurisdiction.

4.2 Data Retention

Call recordings, transcriptions, and call logs are retained for a period of 90 days unless otherwise specified in your Service Order. After the retention period, data may be permanently deleted. Customer is responsible for downloading or archiving any data they wish to retain beyond the standard retention period.

4.3 Data Security

LANgineers employs commercially reasonable security measures to protect call data. However, no method of electronic transmission or storage is 100% secure, and LANgineers cannot guarantee absolute security of Customer data.

4.4 Confidentiality

LANgineers will treat all call data and business information obtained through the Service as confidential. We will not sell, share, or disclose Customer call data to third parties except as necessary to provide the Service, as required by law, or with Customer’s express consent.

5. Customer Responsibilities

Customer agrees to:

  • Provide accurate and current business information for AI configuration, including business name, hours, services, and call handling instructions.
  • Promptly notify LANgineers of any changes to business information, hours, or call handling procedures.
  • Comply with all applicable laws regarding automated call handling and recording in their jurisdiction.
  • Not use the Service for any unlawful purpose, including but not limited to telemarketing, robocalling, or fraud.
  • Maintain the confidentiality of portal login credentials and notify LANgineers immediately of any unauthorized access.
  • Review call logs and AI performance regularly and report any persistent issues to LANgineers for tuning and adjustment.

6. Service Availability

LANgineers strives to maintain 99.9% uptime for the Service. However, the Service may be temporarily unavailable due to scheduled maintenance, system updates, or circumstances beyond our control including telecommunications outages, internet disruptions, force majeure events, or third-party platform outages. LANgineers will make commercially reasonable efforts to provide advance notice of scheduled maintenance.

7. Term and Termination

7.1 Service Term

The term of service, including any initial commitment period and renewal provisions, will be specified in your Service Order or Software License Agreement. In the absence of a separate written agreement specifying otherwise, the Service will operate on a month-to-month basis. All terms regarding service duration, renewal, and early termination fees are governed by the applicable Service Order or License Agreement executed between Customer and LANgineers.

7.2 Cancellation by Customer

Cancellation or early termination of the Service is subject to the terms set forth in the applicable Service Order or Software License Agreement. Where a committed term applies, early termination may be subject to fees as specified in that agreement. Customer must provide written notice of cancellation (email to support@langineers.com or certified mail). Unless otherwise specified in a Service Order or License Agreement, cancellation requires at least 30 days written notice prior to the next billing cycle and is effective at the end of the current paid billing period. No refunds will be issued for unused portions of prepaid minute buckets.

7.3 Termination by LANgineers

LANgineers reserves the right to suspend or terminate the Service immediately if Customer: (a) fails to pay any fees when due; (b) violates any provision of this Agreement; (c) uses the Service in a manner that could damage, disable, or impair the Service; or (d) engages in fraudulent or illegal activity.

7.4 Effect of Termination

Upon termination, Customer’s access to the portal and all Service features will be discontinued. Call data will be retained for 30 days following termination, during which time Customer may request export of their data. After 30 days, all data may be permanently deleted.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LANGINEERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, BUSINESS OPPORTUNITIES, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.

LANgineers’ total cumulative liability under this Agreement shall not exceed the total service fees paid by Customer in the twelve (12) months immediately preceding the event giving rise to the claim.

9. Indemnification

Customer agrees to indemnify, defend, and hold harmless LANgineers, its officers, directors, employees, and agents from and against any claims, losses, damages, liabilities, and expenses (including reasonable attorney’s fees) arising from or related to: (a) Customer’s use of the Service; (b) Customer’s violation of this Agreement; (c) Customer’s violation of any applicable law or regulation; or (d) any claim by a third party related to calls handled by the Service on Customer’s behalf.

10. Force Majeure

LANgineers shall not be liable for any delay or failure to perform its obligations under this Agreement due to causes beyond its reasonable control, including but not limited to natural disasters, acts of God, pandemic, government actions, telecommunications failures, internet outages, power failures, third-party platform outages, cyberattacks, or labor disputes.

11. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles. Any disputes arising under this Agreement shall be resolved through binding arbitration in San Mateo County, California, administered by the American Arbitration Association under its Commercial Arbitration Rules. The prevailing party shall be entitled to recover reasonable attorney’s fees and costs.

12. Modifications

LANgineers reserves the right to modify this Agreement at any time. Changes will be posted on our website and will become effective 30 days after posting. Continued use of the Service after the effective date constitutes acceptance of the modified terms. Material changes to pricing will be communicated to Customer via email at least 30 days in advance.

13. Entire Agreement

This Agreement, together with the applicable Service Order, constitutes the entire agreement between the parties with respect to the Service and supersedes all prior agreements, representations, and understandings. If any provision of this Agreement is found to be unenforceable, the remaining provisions shall remain in full force and effect.
